Boot Barn Workforce Conditions of Use

Please read these Conditions of Use carefully. These Conditions of Use govern access to and use of Boot Barn Workforce, Boot Barn's commercial account platform for businesses, organizations, account administrators, and authorized users. By accessing or using Boot Barn Workforce, you agree to these Conditions of Use on behalf of yourself and, where applicable, the company or organization you represent.

1. Scope and Acceptance

These Conditions of Use apply to Boot Barn Workforce and any related websites, portals, features, tools, content, services, commercial account functionality, ordering workflows, and account management features made available by Boot Barn, Inc. and its subsidiaries and affiliates (collectively, "Boot Barn," "we," "our," or "us").

Boot Barn Workforce is intended for commercial use by businesses, employers, organizations, account administrators, purchasing teams, and other authorized users. If you access or use Boot Barn Workforce on behalf of a company or organization, you represent that you have authority to bind that company or organization to these Conditions of Use.

2. Relationship to Other Terms

These Conditions of Use supplement any written commercial account agreement, credit agreement, purchase order terms accepted by Boot Barn, invoice terms, program terms, or other agreement between Boot Barn and your organization. If there is a conflict between these Conditions of Use and a separate written agreement signed or accepted by Boot Barn, the separate written agreement will control only to the extent of the conflict.

Use of Boot Barn Workforce is also subject to applicable Boot Barn policies, including the Boot Barn Workforce Privacy Policy, Boot Barn Workforce Accessibility Policy, product-specific policies, shipping and return policies, and any account-specific program rules communicated by Boot Barn.

3. Commercial Accounts and Authorized Users

Access to Boot Barn Workforce may be limited to approved commercial account customers and their authorized users. Your organization is responsible for designating account administrators, managing user access, maintaining accurate account information, and ensuring that authorized users comply with these Conditions of Use.

Account administrators may be able to add, remove, or manage authorized users; view order history; access invoices; manage shipping locations; review purchasing activity; configure purchasing permissions; and perform other account management functions. Authorized users understand that their activity on Boot Barn Workforce may be visible to their organization's account administrators and to Boot Barn personnel supporting the commercial account relationship.

4. Account Credentials and Security

You are responsible for maintaining the confidentiality of your username, password, and other account credentials. You agree not to share your credentials with unauthorized persons or allow anyone else to use your access. You must promptly notify Boot Barn or your organization's account administrator if you believe your credentials have been compromised or that unauthorized access has occurred.

Boot Barn may suspend, restrict, or terminate access to Boot Barn Workforce if we believe access has been misused, compromised, used in violation of these Conditions of Use, or otherwise presents a security, fraud, operational, or legal risk.

5. Permitted Use

You may use Boot Barn Workforce only for lawful commercial purposes related to your organization's relationship with Boot Barn, including account management, product browsing, commercial purchasing, order placement, order tracking, invoicing, program administration, and related support.

You agree not to:

  • use Boot Barn Workforce for any unlawful, fraudulent, misleading, or unauthorized purpose;
  • interfere with or disrupt the operation, security, or integrity of Boot Barn Workforce;
  • attempt to gain unauthorized access to any account, system, data, or network;
  • copy, scrape, harvest, or extract data from Boot Barn Workforce except as expressly permitted by Boot Barn;
  • use bots, crawlers, scripts, or automated tools without Boot Barn's prior written authorization;
  • upload or transmit malicious code, viruses, or harmful materials;
  • misrepresent your identity, role, authority, company affiliation, or purchasing authority; or
  • use Boot Barn Workforce in a manner that violates applicable laws, these Conditions of Use, or any applicable commercial account agreement.

6. Orders, Pricing, Availability, and Product Information

Product descriptions, specifications, images, pricing, promotions, availability, shipping estimates, and other information displayed through Boot Barn Workforce are provided for convenience and may change without notice. Boot Barn attempts to display accurate information, but we do not warrant that all information is complete, current, or error-free.

Orders placed through Boot Barn Workforce are subject to acceptance by Boot Barn. Boot Barn may refuse, cancel, limit, or modify orders for reasons including product availability, pricing or typographical errors, suspected fraud, account issues, credit limitations, shipping restrictions, or violation of applicable terms.

Commercial account pricing, discounts, contract pricing, volume programs, shipping terms, tax treatment, and payment terms may vary by account and may be subject to separate agreements or account-specific approvals.

7. Purchase Orders, Invoices, Payment, and Credit

Boot Barn Workforce may allow authorized users to submit purchase orders, use approved payment methods, request invoicing, or access commercial credit features. Any purchase order submitted through Boot Barn Workforce is subject to Boot Barn's acceptance and does not modify these Conditions of Use or any applicable Boot Barn terms unless expressly agreed to in writing by Boot Barn.

Your organization is responsible for all purchases, charges, taxes, fees, and amounts incurred through its commercial account, including purchases made by authorized users. Payment terms, credit limits, invoicing arrangements, and collection rights may be governed by separate commercial account documentation.

8. Tax Exemption and Business Information

If your organization provides tax exemption certificates, business licenses, resale certificates, or similar documentation, your organization is responsible for ensuring that all information is accurate, current, and valid. Boot Barn may request updated documentation and may deny tax-exempt treatment where documentation is missing, expired, invalid, or not applicable to a transaction.

9. Shipping, Delivery, Returns, and Exchanges

Commercial orders may be subject to shipping, delivery, return, exchange, and claims procedures communicated by Boot Barn, displayed within Boot Barn Workforce, or set forth in a separate commercial account agreement. Some products, custom items, bulk orders, special orders, safety products, or employer-program purchases may be subject to modified or restricted return rights.

10. Employer Programs and Employee Purchases

Boot Barn Workforce may support employer-sponsored programs, employee purchasing programs, uniform or workwear programs, allowance programs, approval workflows, or account-based purchasing rules. Participation in any such program may be subject to additional employer, account, or program requirements.

Your organization is responsible for determining which employees or representatives may participate in its programs and for communicating any internal purchasing rules, reimbursement rules, allowance limits, or approval requirements to authorized users.

11. Intellectual Property

Boot Barn Workforce and all related content, designs, text, graphics, logos, icons, images, product information, software, code, interfaces, trademarks, service marks, and other materials are owned by or licensed to Boot Barn and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, display, sell, lease, reverse engineer, or create derivative works from Boot Barn Workforce or its content.

Boot Barn, Boot Barn Workforce, and related names, logos, and marks are trademarks or service marks of Boot Barn or its affiliates. No license or right to use any Boot Barn trademark is granted except as expressly authorized in writing.

12. User Content, Feedback, and Submissions

If you submit information, feedback, suggestions, files, product requirements, reviews, comments, or other materials through Boot Barn Workforce, you grant Boot Barn the right to use, reproduce, modify, and process those materials as reasonably necessary to operate Boot Barn Workforce, support your account, fulfill orders, improve services, and administer the commercial relationship.

You represent that you have the right to submit any materials you provide and that those materials do not violate the rights of any third party or any applicable law.

13. Privacy

Boot Barn's collection, use, disclosure, and protection of personal information through Boot Barn Workforce is described in the Boot Barn Workforce Privacy Policy. By using Boot Barn Workforce, you acknowledge that Boot Barn may process information as described in that policy and as needed to support the commercial account relationship.

14. Third-Party Services and Links

Boot Barn Workforce may include links or integrations with third-party services, including payment processors, shipping providers, tax verification services, analytics tools, identity or authentication providers, or other business systems. Boot Barn is not responsible for third-party websites, services, content, or practices, except as required by applicable law or a written agreement with Boot Barn.

15. Disclaimers

Boot Barn Workforce and all related content, information, products, and services are provided on an "as is" and "as available" basis, except as otherwise expressly provided in a written agreement with Boot Barn. To the fullest extent permitted by law, Boot Barn disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Boot Barn does not warrant that Boot Barn Workforce will be uninterrupted, secure, error-free, or free of harmful components, or that defects will be corrected.

16. Limitation of Liability

To the fullest extent permitted by law, Boot Barn and its subsidiaries, affiliates, officers, directors, employees, agents, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, business interruption, or loss of goodwill arising out of or related to use of Boot Barn Workforce, even if advised of the possibility of such damages.

Nothing in these Conditions of Use limits liability that cannot be limited under applicable law.

17. Indemnification

You and, where applicable, your organization agree to defend, indemnify, and hold harmless Boot Barn and its subsidiaries, affiliates, officers, directors, employees, agents, suppliers, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Boot Barn Workforce, your violation of these Conditions of Use, your misuse of account credentials, your submissions, or your violation of applicable law or third-party rights.

18. Suspension and Termination

Boot Barn may suspend, restrict, or terminate access to Boot Barn Workforce at any time, with or without notice, if Boot Barn determines that continued access may violate these Conditions of Use, applicable law, account requirements, security standards, or Boot Barn's business, operational, or legal interests.

Upon termination or suspension, you must stop using Boot Barn Workforce. Provisions that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

19. Changes to Boot Barn Workforce or These Conditions

Boot Barn may modify, suspend, discontinue, or update Boot Barn Workforce, in whole or in part, at any time. Boot Barn may also update these Conditions of Use from time to time. Updated terms will be effective when posted or otherwise communicated, unless a later effective date is stated. Continued use of Boot Barn Workforce after updated terms become effective constitutes acceptance of the updated terms.

20. Governing Law

These Conditions of Use are governed by the laws of the State of California, without regard to conflict of law principles, unless a separate written agreement with Boot Barn specifies a different governing law.
